AGREEMENT TO OUR LEGAL TERMS
We are Naser Issa, doing business as Hala Ride ("Company," "we," "us," or "our"). We operate the Hala Ride mobile application and related websites and services (the "App" and collectively, the "Services") that connect drivers and riders for pre-planned carpool trips and cost sharing.

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Naser Issa regarding your access to and use of the Services. By accessing or using the Services, you agree to these Legal Terms. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
Supplemental terms or policies posted within the Services are incorporated by reference. We may update these Legal Terms at any time by posting a revised version with a new "Last updated" date. Continued use of the Services after changes means you accept the revised terms. The Services are intended for users 18 years of age or older.

1. OUR SERVICES AND PLATFORM ROLE
The Services facilitate the sharing of ride costs between people traveling in the same direction. Hala Ride is a technology platform only. We do not provide transportation services, operate vehicles, employ drivers, or act as a driver’s agent. Drivers are independent and choose whether, when, and where to offer carpool trips. Riders and drivers decide whether to accept a ride with one another.
Trips arranged through the Services are intended as pre-planned carpools and cost-sharing, not taxi, limousine, or for-hire transportation. You are responsible for determining whether your use of the Services complies with applicable carpooling, insurance, and transportation laws where you live and travel.
We do not guarantee that any trip will be accepted, completed, or carried out in accordance with estimated times.
2. ELIGIBILITY AND USER ACCOUNTS
You must be at least 18 years old and able to form a binding contract to use the Services. Minors may not ride unless accompanied by a legal guardian who is also a user on the trip. You represent that registration information you provide is accurate and complete and that you will keep it updated. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.
3. DRIVER REQUIREMENTS
Drivers must: (a) hold a valid driver’s licence for the jurisdiction of operation; (b) use a roadworthy, registered vehicle; (c) maintain insurance that covers carrying passengers and complies with applicable provincial and municipal laws; (d) obey traffic, safety, and carpool/insurance rules; (e) not drive while impaired, distracted, or fatigued; and (f) not carry weapons, illegal drugs, or other prohibited items. Drivers are solely responsible for ensuring that offering rides through the Services is permitted under their licence, insurance policy, lease or financing agreement, and local law. You must promptly cancel a trip if these requirements are not met.
Where a trip is shown in the App as a round trip, the driver is responsible for completing the full agreed route, including the return leg to the pickup region or other drop-off point shown in the booking. Leaving riders at the destination or ending the trip early without the riders’ agreement is a serious violation of these Legal Terms and may result in withheld payments, account suspension, or a permanent ban.
4. RIDER EXPECTATIONS
Riders must: (a) comply with all laws, including seatbelt laws; (b) arrive on time at the designated pickup point; (c) behave respectfully toward drivers and other riders; (d) avoid conduct that distracts the driver; (e) not bring weapons, illegal drugs, or hazardous items; and (f) honor agreed-upon trip details. Riders are responsible for confirming that a vehicle and driver match the details shown in the App before entering the vehicle.
5. PAYMENTS, FEES, AND STRIPE
Payment processing for the Services is provided by Stripe or other third-party payment processors. By booking or offering a trip, you authorize us and Stripe to charge your payment method for the rider cost share and any platform fees disclosed in the App. Amounts paid for transportation are collected on behalf of the driver; platform fees are collected by Hala Ride. Amounts paid to drivers represent cost-sharing only. Drivers may not earn a profit from trips. Unless the App clearly states otherwise, trip prices are pre-computed on the assumption of a two-way (round) trip. The rider cost share and driver amount already include the driver’s return distance; drivers are not entitled to any extra payment for driving back after dropping off riders. All amounts are in Canadian dollars unless stated otherwise. You are responsible for any applicable taxes. We may place holds, issue adjustments, or reverse transactions in cases of suspected fraud, cancellation, dispute, or error. If we determine that a driver failed to complete an agreed round trip or abandoned riders at or near the destination without agreement, we may treat the trip as not properly provided, reverse or withhold driver payments, and issue refunds or credits to affected riders. We may update pricing, platform fees, or cost-share calculations at any time with effect for future trips.
6. CANCELLATIONS AND REFUNDS
Cancellation windows and any charges are described in the App at the time of booking. Unless otherwise stated in the App or required by law: (a) if a driver cancels, riders will receive a refund of the ride cost share and maybe any platform fee; (b) if a rider cancels within the stated free-cancellation period, eligible amounts will be refunded; (c) late cancellations and no-shows may be non-refundable and the driver may still receive the cost share; (d) platform fees are generally non-refundable except when we cancel a trip or where required by law; and (e) if a driver fails to complete the agreed trip (for example, only driving the outbound leg of a round trip and leaving riders at or near the destination without agreement), we may provide riders with a refund or credit and may withhold some or all of the driver’s payment. Repeated or serious incidents may lead to account suspension or a permanent ban. We may offer credits or alternative remedies at our discretion. This section does not limit any statutory rights you may have.
7. USER CONTENT, REVIEWS, AND MESSAGING
The Services allow users to create profiles, exchange messages, submit trip details, and leave feedback ("Contributions"). Contributions may be visible to other users. You represent that you own or have rights to your Contributions and that they are lawful and accurate. You grant us a non-exclusive, worldwide, royalty-free license to host, display, and use Contributions to operate and improve the Services. We may remove or edit Contributions that violate these Legal Terms.
8. PROHIBITED ACTIVITIES
You agree not to: (a) misuse the Services or violate applicable law; (b) provide false identity, licence, insurance, vehicle, or trip information; (c) harass, threaten, discriminate, or engage in hate speech; (d) interfere with the safety or operation of a trip; (e) copy, reverse engineer, or create derivative works of the Services; (f) use automated tools to access or collect data from the Services; (g) attempt to gain unauthorized access to accounts or systems; or (h) upload malware or other harmful code. We may suspend or terminate access for prohibited conduct.
9. IDENTITY VERIFICATION AND COMPLIANCE
We may use Stripe or other vendors to verify driver identity for payout and financial compliance purposes. This verification confirms identity documents only and does NOT include background checks, driving record checks, licence validity checks, insurance verification, criminal screenings, or vehicle inspections. Drivers remain solely responsible for holding a valid licence, maintaining appropriate insurance for carrying passengers, and operating a safe vehicle. Hala Ride does not guarantee that any driver meets legal or safety requirements, and riders assume the risks of riding with individuals not vetted by Hala Ride.
10. SERVICE MANAGEMENT AND AVAILABILITY
We may monitor use of the Services, restrict access, remove content, or disable accounts to protect the platform or enforce these Legal Terms. The Services may be modified, suspended, or discontinued at any time without liability. We do not guarantee continuous or error-free availability.
11. MOBILE APPLICATION LICENSE
Subject to these Legal Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the App on your personal device for your own non-commercial use. You may not copy, distribute, reverse engineer, or use the App for any unauthorized purpose. App store terms from Apple or Google may also apply.
12. THIRD-PARTY WEBSITES AND CONTENT
The Services may link to or use third-party content or services. We do not control and are not responsible for third-party sites, content, or services. Your dealings with third parties are solely between you and them.
13. PRIVACY
Our collection and use of personal information are described in our Privacy Policy. By using the Services, you consent to our data practices as described there.
14. ASSUMPTION OF RISK AND DISCLAIMER
Riding with people you do not know carries inherent risks, including the risk of accidents, injuries, property damage, and interactions with individuals whose background we have not vetted. You understand and agree that Hala Ride does not provide transportation services, does not operate vehicles, and does not guarantee the actions of any user. To the maximum extent permitted by law, you assume all risks arising from your use of the Services and interactions with other users.
In an emergency or if you feel unsafe, call local emergency services (e.g., 911) and do not rely on the App for assistance.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Services will be uninterrupted, secure, or error-free.
15. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Hala Ride is not liable for accidents, collisions, bodily injury, death, property loss, insurance denials, or disputes between users arising from trips facilitated through the Services. Any claims arising from an accident are solely between the driver, rider(s), and their respective insurance providers. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF PLATFORM FEES YOU PAID TO US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. INDEMNIFICATION
You agree to indemnify and hold harmless Hala Ride, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services or participation in trips; (b) your breach of these Legal Terms; (c) your violation of law or third-party rights; or (d) your interactions with other users. We may assume the defense of any matter subject to indemnification; you will cooperate with us at your expense.
17. TERM AND TERMINATION
These Legal Terms remain in effect while you use the Services. We may suspend or terminate your access at any time for any reason, including violation of these Legal Terms or risk to safety. You may stop using the Services and delete your account at any time. Sections that by their nature should survive termination will continue to apply.
18. GOVERNING LAW AND DISPUTE RESOLUTION
These Legal Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties will first attempt to resolve disputes informally by providing written notice and allowing thirty (30) days for discussion. If not resolved, disputes will be brought exclusively in the courts of Alberta sitting in Edmonton, except where applicable consumer protection laws require a different venue. Nothing in this section limits any non-waivable rights you may have under consumer protection laws.
19. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Using the Services, sending emails, or submitting information electronically constitutes electronic communications. You consent to receive electronic communications and agree that electronic agreements, notices, and records satisfy any legal requirements for written communications.
20. MISCELLANEOUS
These Legal Terms, together with policies referenced herein, constitute the entire agreement between you and us regarding the Services. If any provision is found invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. We may assign our rights and obligations without restriction. You may not assign without our prior written consent. There is no partnership, joint venture, or employment relationship created by these Legal Terms. Nothing in these terms creates an employment, agency, or joint venture relationship between Hala Ride and any user.
